Terms and Conditions

Effective date: 17 June 2026

1. Definitions

"Platform" — the Sell It Fresh online trading exchange at sellitfresh.co.za and any associated interfaces.

"Operator" — Sell It Fresh (Pty) Ltd, registration number 2026/445616/07.

"User" — any registered business entity or sole trader accessing the Platform as a Grower or Buyer.

"Grower" — a User who lists produce or responds to planting requests on the Platform.

"Buyer" — a User who bids on produce listings or posts planting requests on the Platform.

"Contract" — a binding agreement between a Grower and a Buyer formed when a bid is accepted or a Buy Now is triggered.

"Escrow" — the payment holding service provided by TradeSafe (Pty) Ltd, an independent payment intermediary.

"Commission" — the Operator's service fee, embedded in the transaction price.

"Trade Channel" — a private bilateral trading relationship between a Grower and a Buyer on the Platform.

2. Nature of the Platform

The Platform is a B2B trading exchange. The Operator is not a produce agent as defined under the Agricultural Produce Agents Act 12 of 1992. The Operator does not take possession of, or title to, any produce at any time.

The Platform facilitates introductions and contract formation between Growers and Buyers and provides infrastructure for price discovery, contract lifecycle management, crop updates, and escrow-backed settlement.

All contracts formed on the Platform are directly between the Grower and the Buyer. The Operator is not a party to any contract for the sale of produce.

3. Eligibility and Registration

The Platform is available to registered business entities and sole traders operating in the Republic of South Africa. Registration as an individual consumer is not permitted.

By registering, you confirm that:

  • You are duly authorised to bind your business to these Terms.
  • All information provided during registration is accurate and current.
  • You will notify the Operator within 21 days of any material change to your business details.

The Operator reserves the right to approve, decline, or suspend any registration at its sole discretion.

4. Platform Access and KYC

Full platform access — including the ability to place bids, accept offers, and fund escrow — requires completion of identity and business verification as determined by the Operator.

Users who have not completed verification may browse the Platform but may not transact.

5. Trading Modes

5.1 Fresh Market

Growers may list available or ready-to-harvest produce. Buyers may place bids or trigger a Buy Now at the listed price. A Contract is formed on acceptance of a bid or trigger of Buy Now.

5.2 Grow Contracts

Buyers may post planting requests specifying produce type, volume, season, and indicative price range. Growers submit offers in response. A Contract is formed when the Buyer accepts a Grower offer.

5.3 Trade Channels

Either a Grower or Buyer may invite a known counterparty to a private Trade Channel. Trade Channels use the same escrow and pricing infrastructure as other trading modes.

6. Pricing and Commission

All prices displayed to Buyers are inclusive of the Operator's commission. All prices displayed to Growers reflect the net farmgate amount after the Operator's commission. Commission rates are set by the Operator and may change with notice.

Commission is not shown as a separate line item to either party. Neither party's price is disclosed to the other.

Fresh produce sold through the Platform is zero-rated for VAT in terms of the Value-Added Tax Act 89 of 1991. No VAT is charged on produce transactions.

7. Escrow and Payment

Payment for all contracts is processed through TradeSafe (Pty) Ltd, an independent escrow provider. By transacting on the Platform, you agree to be bound by TradeSafe's applicable terms and conditions.

The escrow lifecycle:

  • Buyer funds escrow after Contract formation.
  • Funds are held by TradeSafe until delivery is confirmed.
  • On delivery confirmation, TradeSafe releases payment to the Grower net of the Operator's commission.

The Operator absorbs TradeSafe's escrow processing fee from its commission. No additional escrow fee is charged to Users.

The Operator does not hold, control, or have access to escrow funds at any time. All escrow disputes are resolved by TradeSafe in accordance with their dispute resolution procedures.

8. Buy Now and Damage Window

When a Buyer triggers a Buy Now, a Contract is immediately formed. The Buyer has a 24 South African business hour window to raise a damage or quality dispute.

If no dispute is raised within this window, the Contract is automatically confirmed and the Grower is released to prepare for dispatch.

A Grower who declines a Buy Now without a legitimate damage or quality reason may be subject to a rating penalty following admin review.

9. Obligations of Growers

Growers agree to:

  • List only produce they own or have the right to sell.
  • Provide accurate information on variety, volume, quality, and expected harvest dates.
  • Honour all Contracts formed on the Platform.
  • Not contact Buyers outside the Platform to circumvent the Operator's commission.
  • Post accurate crop updates within agreed timelines.

10. Obligations of Buyers

Buyers agree to:

  • Fund escrow promptly after Contract formation.
  • Confirm delivery accurately and in good faith.
  • Not contact Growers outside the Platform to circumvent the Operator's commission.
  • Provide accurate delivery location information.

11. Platform Bypass

Any attempt to circumvent the Platform — including sharing contact details, negotiating off-platform, or inducing another User to transact directly — constitutes a material breach of these Terms.

The Operator may suspend or permanently ban any User found to be circumventing the Platform. Forfeiture of escrow funds may apply where bypass is confirmed.

12. Dispute Resolution

Commercial disputes between Growers and Buyers are referred to TradeSafe for resolution. The Operator will provide evidence packages to TradeSafe on request.

Disputes between a User and the Operator shall be resolved by good-faith negotiation in the first instance. If unresolved after 30 days, either party may refer the matter to binding arbitration under AFSA rules.

13. Grower Ratings

The Platform operates a grower reputation system. Rating deductions for unjustified Buy Now declines are administered following admin review. Ratings are visible to Buyers.

Growers may dispute a rating deduction by contacting the Operator in writing within 10 business days.

14. Limitation of Liability

To the maximum extent permitted by law, the Operator's aggregate liability to any User shall not exceed the total commission earned on that User's transactions in the 3 months preceding the claim.

The Operator is not liable for: crop failure; delivery delays caused by third parties; TradeSafe system downtime; or loss of profit or consequential loss of any kind.

15. Intellectual Property

All Platform content, branding, software, and infrastructure is the property of the Operator or its licensors. Users may not copy, reproduce, or resell any part of the Platform without written consent.

16. Amendments

The Operator may amend these Terms at any time. Material changes will be communicated to registered Users by email at least 14 days before they take effect. Continued use of the Platform constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the Republic of South Africa.
